Key Features of LLP

  • Separate Legal Entity

An LLP has a legal identity separate from its members, permitting it to personal assets, enter into contracts, and sue or be sued in its own name.

  • Limited Liability Protection

Partners' liability is limited to the amount they invest in the LLP. They are not personally responsible for business debts or losses.

  • No Minimum Capital Requirement

There is no mandatory minimum capital needed to form an LLP, making it accessible for startups and small businesses.

  • Fewer Compliance Requirements

Compared to private limited companies, LLPs have relaxed compliance norms, reducing regulatory burdens.

  • Flexible Partnership Structure

Partners can manage the business directly, and their roles and responsibilities can be defined in the LLP agreement.

  • Perpetual Succession

The LLP continues to exist irrespective of changes in partners, ensuring business continuity.

  • Tax Benefits

LLPs revel in diverse tax advantages, such as exemption from dividend distribution tax (DDT) and no requirement to pay tax on earnings shared among partners.

  • Mandatory Registration

LLPs must be registered with the Ministry of Corporate Affairs (MCA) and are governed under the LLP Act, 2008.

Advantages of LLP

  • Limited Liability

Partners are protected from personal liability for business debts and obligations, reducing personal financial risk.

  • Separate Legal Entity

The LLP exists independently of its partners, allowing it to own assets, enter into contracts, and continue operations despite changes in ownership.

  • Low Formation and Compliance Costs

LLPs are cost-effective to register and operate, with fewer compliance requirements than private limited companies.

  • No Minimum Capital Requirement

There is no mandatory capital threshold, making it easy for startups and small businesses to launch.

  • Flexible Management Structure

Partners have the freedom to structure internal operations and profit-sharing terms as per the LLP agreement.

  • Tax Efficiency

LLPs aren't subject to Dividend Distribution Tax (DDT) and experience bypass-through taxation, wherein income is taxed best at the associate stage.

  • Easy to Form and Operate

With an online registration process and minimal paperwork, LLPs are easy to set up and manage in India.
